We are very pleased to announce that Ms. Sawako Itobayashi joined our firm as an associate attorney as of November 1, 2008.
Prior to joining Anderson Mori & Tomotsune, Ms. Itobayashi was an associate with Linklaters Tokyo Office (Gaikokuho Kyodo-Jigyo Horitsu Jimusho) where her practice primarily involved mergers & acquisitions, general corporate including financial transactions and regulatory issues, commercial transactions and antitrust.
Ms. Itobayashi was admitted to the Japanese bar in 2005 after receiving her Bachelor of Law degree in 2003 and her Master of Laws in 2004 from Hokkaido University.
In addition to further developing her skills and knowledge in the areas of law she has specialized in, she is eager to expand her practice into various other areas of law.

The Tokyo Regional Taxation Bureau assessed corporate income tax on receipt of distribution of profits from a Japanese company (business operator) by a Dutch company (tokumei-kumiai investor) under a tokumei-kumiai contract, alleging that the partnership constituted a permanent establishment of the off-shore investor. The courts, in both the first and second instance, reversed the tax assessment on the distribution of Tokumei-kumiai profits. The courts held that the contract between the two companies was a valid tokumei-kumiai contract, that tokumei-kumiai profits fell within the scope of Article 23 of the Japan-Netherlands Tax Convention and that there was no legal basis for imposing corporate income tax on the investor's receipt of distribution of tokumei-kumiai profits. The tax authority further appealed to the Supreme Court, but the Supreme Court did not accept the appeal and the taxpayer's overall victory became final and binding on 5 June, 2008. To our knowledge, this is the first judicial case in which the court reversed tax assessment concerning a tokumei-kumiai transaction. Our partners, Mitsuo Sasaki, Kenichi Nakano, Koji Fujita and our associates, Shinji Nakamura, Yoshinori Aoyagi and Mariko Onishi represented the investor in this matter.

On June 12, 2008, law firms from more than 20 countries gathered at the International Legal Alliance Summit and Awards event in Paris to recognize legal service excellence for M&A and Corporate Finance transactions around the world. The best law firms from the Americas, Europe, Pacific & South Asia, and the Middle East & Africa were in attendance and Japan was welcomed to the event for the first time. Fifteen jury panels of more than 100 senior legal executives drawn from a wide array of industry sectors and including in-house counsels and senior financial executives reviewed applications submitted by the firms to determine one winner of the Gold Award for each region on the basis of results and performance.
Anderson Mori & Tomotsune was privileged and honored to receive the Gold Award for Japan as the Best Law Firm in Japan primarily based on its legal services on M&A and corporate finance transactions in 2006 and 2007.

The ALB In-House Legal Summit Tokyo 2008 was held on May 30, 2008 at the Ritz-Carlton Hotel Tokyo, which involved experienced in-house practitioners of large international enterprises. We are advised that it is only under the most difficult of circumstances that rescue operations are continuing, but we nonetheless pray such efforts will be successful. We also hope that the affected areas enjoy a complete and speedy recovery. We are pleased to announce that Taro Tsunoda, Nobuyuki Maeyama, Atsutoshi Maeda, Takashi Toichi and Satoshi Inoue have been promoted to partners of the firm as of January 1, 2008.
Mr. Taro Tsunoda was admitted to the Japanese bar in 1996, after receiving his Bachelor of Law degree in 1992 from Waseda University. He also obtained Masters of Laws from the University of Michigan in 2001 and the University of Chicago in 2002.
Mr. Nobuyuki Maeyama was admitted to the Japanese bar in 1998, after receiving his Bachelor of Law degree in 1992 from Kyoto University. He also obtained a Master of Laws from Georgetown University Law Center in 2004.
Mr. Atsutoshi Maeda was admitted to the Japanese bar in 2000, after receiving his Bachelor of Law degree in 1998 from the University of Tokyo. He also obtained a Master of Laws from the University College London in 2005.
Mr. Takashi Toichi was admitted to the Japanese bar in 2000, after receiving his Bachelor of Law degree in 1998 from Keio University. He also obtained a Master of Laws from Columbia University School of Law in 2005 and a Master in Finance from London Business School in 2006.
